1. Agreement
These terms are between you and Gallucci Ventures LLC, a Florida limited liability company, doing business as Onverse ("Onverse", "we", "us"). By using onverse.ai, the Discovery portal, the Partner Portal, or by messaging or calling Otto, you agree to them. If you do not agree, do not use the site.
If you sign a mutual non-disclosure agreement, a statement of work, or another written agreement with Onverse, that agreement governs where it overlaps with these terms.
2. What the site is for
The site describes what Onverse does and lets you start a Discovery process. Nothing on the site is legal, financial, or professional advice, and nothing on it is an offer to enter into an engagement. An engagement exists only when both parties sign a written agreement.
3. Your account and your submissions
You are responsible for what you enter. You confirm that the information you give us in the Discovery portal is accurate and that you have authority to share it on behalf of the business you name. If you are given Partner Portal credentials, keep them to yourself and tell us at once if they are compromised.
You keep ownership of the information you submit. You give us a licence to use it to respond to you, scope and deliver work, and operate the service, as described in our Privacy Policy.
4. Text messaging terms
Onverse sends text messages about your build to people who have provided a mobile number and checked the consent box in the Discovery portal. By opting in you agree to receive these messages from Onverse. Message and data rates may apply. Message frequency varies.
- To stop: reply STOP to any message. You will receive one confirmation message and no further texts unless you opt in again.
- For help: reply HELP, or email m@onverse.ai.
- Carriers are not liable for delayed or undelivered messages.
Otto, our alignment agent, is an AI assistant. Messages and calls with Otto may be recorded and transcribed as described in the Privacy Policy. Otto does not make commitments on our behalf; anything he says about scope, timing, or price is a conversation, not an offer.
5. Acceptable use
Do not use the site or Otto to send unlawful, abusive, or misleading content; to probe, scan, or overload our systems; to access another person's workspace or data; or to scrape the site. We may suspend access for any of these.
6. Intellectual property
The site, its design, its copy, and the names Onverse, Connection Stack, Downbeat, and Otto belong to Gallucci Ventures LLC. You may not reuse them without written permission. Third-party product names on the site belong to their owners; their appearance does not imply affiliation or endorsement.
What you own in a client engagement is set out in that engagement's agreement, not here.
7. Third-party services
The site links to and relies on services we do not control, including WhatsApp, Google, Twilio, ElevenLabs, Vercel, and Supabase. Their terms apply to your use of them. We are not responsible for their availability or conduct.
8. Disclaimer
The site and Otto are provided as they are and as available. We do not promise that the site will be uninterrupted or error-free, or that anything Otto says is complete or accurate. To the fullest extent the law allows, we disclaim all warranties, express or implied, including fitness for a particular purpose.
9. Limitation of liability
To the fullest extent the law allows, Onverse is not liable for indirect, incidental, special, or consequential damages arising from your use of the site or Otto, and our total liability for any claim relating to the site is limited to one hundred US dollars. This does not limit liability that cannot be limited by law, and it does not apply to obligations under a signed engagement agreement, which has its own terms.
10. Governing law
These terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any dispute will be brought in the state or federal courts located in Florida, and you consent to their jurisdiction.
11. Changes
When these terms change, the effective date at the top changes with it. Continued use of the site after a change means you accept it.
